IMPORTANT: FINLEYY IS NOT A SOURCE OF LEGAL, REGULATORY, OR COMPLIANCE ADVICE. THE SERVICE IS PROVIDED FOR INFORMATIONAL AND RESEARCH PURPOSES ONLY. YOU MUST NOT RELY ON FINLEYY'S RESPONSES WHEN MAKING COMPLIANCE, LEGAL, OR BUSINESS DECISIONS. ALWAYS CONSULT QUALIFIED PROFESSIONALS AND VERIFY INFORMATION AGAINST PRIMARY SOURCES.

These Terms of Service (“Terms”) govern your access to and use of the Finleyy AI assistant service (the “Service”) provided by Lloyd IT Limited, company number 16349880 (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service and Important Limitations

Finleyy is an AI-powered research tool designed to help users explore UK financial services regulations, including the FCA Handbook and related regulatory materials. The Service retrieves and summarises information from publicly available regulatory sources.

You must understand and accept the following limitations before using the Service:

  • Not legal or compliance advice: Finleyy does not provide legal, regulatory, financial, or professional advice of any kind. Nothing in the Service should be construed as such advice.
  • AI-generated content: All responses are generated by artificial intelligence. AI can and does make mistakes, misinterpret questions, hallucinate information, and produce outdated or incorrect answers.
  • No reliance: You must not rely on Finleyy's responses when making any compliance, legal, regulatory, or business decisions. Doing so is entirely at your own risk.
  • Verification required: You must independently verify all information provided by Finleyy against primary sources (such as the FCA Handbook directly) and consult qualified professionals before taking any action.
  • No professional relationship: Use of the Service does not create any professional, advisory, or fiduciary relationship between you and Lloyd IT Limited.
  • Not a substitute: Finleyy is not a substitute for qualified legal counsel, compliance officers, or other professional advisers.

3. User Accounts

To access certain features of the Service, you may need to create an account. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe the intellectual property rights of others
  • Transmit malicious code, spam, or harmful content

You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

Regulatory content: The regulatory materials accessible through the Service (such as FCA Handbook content) are sourced from publicly available sources and remain the property of their respective owners.

Your content: You retain ownership of any content you submit to the Service. By using the Service, you grant us a licence to use your content solely to provide and improve the Service.

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The information provided by the Service will be accurate, complete, or current
  • The Service will meet your specific requirements or expectations
  • Any errors or defects in the Service will be corrected

FINLEYY IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, REGULATORY, OR COMPLIANCE ADVICE. YOU ACKNOWLEDGE THAT: (A) FINLEYY'S RESPONSES MAY BE INACCURATE, INCOMPLETE, OR OUTDATED; (B) YOU WILL NOT CITE FINLEYY AS A SOURCE OR AUTHORITY FOR ANY COMPLIANCE, LEGAL, OR BUSINESS DECISION; (C) ANY RELIANCE ON FINLEYY'S RESPONSES IS ENTIRELY AT YOUR OWN RISK; AND (D) YOU WILL ALWAYS VERIFY INFORMATION AGAINST PRIMARY SOURCES AND CONSULT QUALIFIED PROFESSIONALS.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising from or relating to the Service shall not exceed the amount you have paid us (if any) in the twelve months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Lloyd IT Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of another.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Changes to These Terms

We may update these Terms from time to time. Any changes will be effective when we post the revised Terms. The “Last updated” date at the top of this page indicates when these Terms were last revised. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

12. Termination

You may stop using the Service and close your account at any time. We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. General Provisions

Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
